Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and SELT, Inc. ("SELT," "we," "our," or "us") governing your access to and use of the SELT platform, including any campus-specific instances (collectively, the "Platform"). By accessing or using the Platform, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, do not access or use the Platform.

Binding Arbitration Notice

These Terms contain a binding arbitration clause in Section 13. By agreeing to these Terms, you agree to resolve most disputes through individual binding arbitration rather than jury trial or class action, except as provided in that section. Please read Section 13 carefully.

1. Acceptance of Terms

By accessing the Platform, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater), have the legal capacity to enter into a binding agreement, and accept these Terms in their entirety. If you are accessing the Platform on behalf of an institution, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms and that these Terms apply to that entity.

These Terms govern all users of the Platform, including students ("Student Users") accessing the Platform through an institutional license and institutional administrators ("Institutional Users"). Additional terms applicable to institutional partnerships are set forth in separate institutional agreements, which take precedence over these Terms to the extent of any conflict.

SELT reserves the right to modify these Terms at any time. Material changes will be communicated in accordance with Section 14.4. Your continued use of the Platform following any modification constitutes your acceptance of the revised Terms.

2. Eligibility

2.1 Student Users

Access to the Platform as a Student User is conditioned upon your status as an actively enrolled student at an institution that has entered into an active institutional license agreement with SELT. Your eligibility for access is verified through your institution's identity provider ("IdP") at each login session.

If your enrollment is suspended, terminated, or otherwise ceases for any reason, your authorization to access the Platform is simultaneously revoked. You may not access the Platform using another person's credentials or by misrepresenting your enrollment status. Any access obtained through misrepresentation is unauthorized and constitutes a material breach of these Terms.

2.2 Institutional Users

Access to institutional administrative features is conditioned upon your employment or authorized engagement with a licensed institution and your designation as an authorized administrator by that institution. Institutional Users are responsible for complying with their institution's own policies when using SELT's administrative features.

2.3 Geographic Restrictions

The Platform is currently available only through licensed campus instances and is intended for use within the geographic boundaries of the applicable campus or institutional community. Access from outside these boundaries does not expand the scope of permitted use. SELT does not represent that the Platform is appropriate or available in all jurisdictions.

3. Platform Description

3.1 Nature of the Platform

SELT is a verified peer-to-peer campus marketplace. The Platform enables verified enrolled students to list, browse, and transact in goods and services within their campus community. SELT is not a party to any transaction between users. We do not own, sell, purchase, or take title to any items listed on the Platform.

The core value of SELT lies in its verification and accountability infrastructure: every user is a verified enrolled student, and transaction disputes are formally connected to your institution's Student Conduct processes. This infrastructure is described in greater detail in our institutional agreements.

3.2 No Payment Processing

SELT does not currently process, hold, or facilitate the transfer of monetary funds between users. All payment arrangements for transactions are made directly between buyer and seller. SELT does not take custody of funds, is not a payment processor, and is not licensed as a money transmitter. Users are responsible for all aspects of payment arrangements, including selection of payment method and any associated fees or risks.

3.3 Platform Availability

SELT makes commercially reasonable efforts to provide continuous Platform availability. However, we do not guarantee that the Platform will be available at all times, error-free, or uninterrupted. Scheduled maintenance, upgrades, and force majeure events may result in temporary unavailability. SELT will endeavor to provide advance notice of scheduled downtime where practicable.

4. User Accounts & Authentication

4.1 Account Creation

Your SELT account is created and authenticated through your institution's SSO infrastructure. You do not create a separate SELT-native username or password. Your institutional credentials are your credentials for the Platform. You are responsible for maintaining the security of your institutional credentials and for all activity that occurs through your account.

4.2 Account Responsibilities

You agree to:

  • Immediately notify SELT at security@seltapp.com if you suspect unauthorized access to your account
  • Not share your account access with any third party, including other students
  • Not allow any person to use the Platform through your account
  • Ensure that all information associated with your account is accurate and current
  • Not impersonate any other person or entity on the Platform

4.3 Account Suspension

SELT may suspend or terminate your account if your enrollment status is no longer verifiable, if you violate these Terms, or if your institution requests suspension in connection with a conduct matter. Account suspension does not relieve you of obligations arising from activity prior to suspension.

5. Marketplace Conduct Standards

5.1 Listing Standards

When creating a listing on the Platform, you agree that all listings will:

  • Accurately describe the item or service being offered, including all material defects, limitations, or conditions
  • Include photographs that accurately represent the actual item being sold
  • State a good-faith asking price
  • Comply with all applicable laws regarding the sale or transfer of the listed item
  • Not misrepresent the item's origin, authenticity, condition, or legal status

You may not list items on behalf of third parties who are not enrolled students, operate a commercial business through the Platform, or use automated tools to create or manage listings without prior written authorization from SELT.

5.2 Transaction Standards

When engaging in marketplace transactions, you agree to:

  • Communicate with other users in good faith and with reasonable promptness
  • Honor commitments to purchase or sell items at agreed-upon terms
  • Meet for physical transactions in safe, public locations on campus
  • Accurately represent your identity and status as a verified student
  • Not engage in any form of transaction manipulation, bid manipulation, or artificial price inflation

5.3 Communication Standards

In-Platform communications must remain civil, on-topic, and related to marketplace activity. You may not use Platform messaging to harass, intimidate, threaten, or abuse other users; send spam, unsolicited commercial communications, or irrelevant content; collect other users' contact information for use outside the Platform; or coordinate activity that violates these Terms.

6. Prohibited Items & Activities

6.1 Prohibited Items

The following items may not be listed or transacted on the Platform under any circumstances:

  • Controlled substances — including illegal drugs, drug paraphernalia, and prescription medications not prescribed to the seller
  • Weapons — including firearms, ammunition, knives designed as weapons, and items prohibited by institutional policy
  • Alcohol — regardless of the ages of the parties involved
  • Counterfeit goods — including replicas designed to appear as authentic branded goods
  • Stolen property — any item you do not have legal title or authority to sell
  • Academic dishonesty services — including essays, assignments, examinations, or academic work for submission by another student
  • Hazardous materials — including chemicals, explosives, or biohazardous materials
  • Human tissue or bodily fluids of any kind
  • Animals — live animals of any species
  • Adult content — items that are sexually explicit or pornographic in nature
  • Event tickets above face value — where resale above face value is prohibited by the issuer or applicable law
  • Personal data or financial account information — including access credentials, credit card numbers, or personal identifying information of third parties

6.2 Prohibited Activities

The following activities are prohibited on the Platform:

  • Circumventing, disabling, or attempting to bypass any security or authentication feature of the Platform
  • Accessing the Platform through automated means, bots, scrapers, or unauthorized APIs
  • Attempting to access another user's account or data without authorization
  • Transmitting malware, viruses, or malicious code
  • Conducting any activity that disrupts Platform operations or degrades service for other users
  • Using the Platform to facilitate transactions that occur outside the Platform for the purpose of evading accountability
  • Creating multiple accounts, fake accounts, or accounts for individuals other than yourself
  • Conducting surveys, raffles, lotteries, or other promotional schemes through the Platform
  • Operating a commercial enterprise disguised as peer-to-peer student transactions

6.3 Campus-Specific Restrictions

Your campus instance of SELT may include additional restrictions on items or activities consistent with your institution's policies. These campus-level restrictions supplement, and do not replace, the universal restrictions set forth above. You are responsible for understanding the specific policies applicable to your campus instance.

7. Transaction Disputes & Student Conduct Integration

7.1 The SELT Dispute Framework

SELT's core accountability mechanism is its integration with institutional Student Conduct processes. By using the Platform, you expressly acknowledge and agree that:

  • Transaction disputes formally escalated on the Platform may be transmitted to your institution's Student Conduct office as a structured incident report
  • Such transmission is an intended feature of the Platform and constitutes a core service benefit, not a penalty
  • You consent to SELT transmitting your verified identity and transaction history to your institution's Student Conduct office in connection with an escalated dispute
  • Your institution's Student Conduct processes — including all associated rights, procedures, hearings, and outcomes — govern the conduct portion of any escalated dispute

7.2 In-Platform Dispute Resolution

Before a dispute is escalated to Student Conduct, SELT offers an in-Platform dispute interface where parties may communicate regarding a transaction disagreement. Use of the in-Platform dispute process is encouraged as a first step. SELT does not adjudicate disputes; we provide the communication record and verified identity information to the relevant institutional authority upon escalation.

7.3 Scope of Disputes Eligible for Escalation

Disputes eligible for formal escalation to Student Conduct include: failure to deliver an item after payment was arranged; receipt of an item materially different from its listing description; communication of threats or harassment within the Platform; and other conduct that would constitute a violation of your institution's student code of conduct.

Commercial disagreements that do not implicate conduct violations — such as dissatisfaction with an item's condition that was accurately described — are not appropriate for Student Conduct escalation and will be noted as such by SELT in any report.

7.4 No Guarantee of Outcome

SELT does not guarantee any particular outcome from any dispute, whether resolved through in-Platform communication or escalated to Student Conduct. SELT does not make findings of fact, impose penalties, or determine the outcome of Student Conduct proceedings. These functions belong exclusively to your institution.

7.5 Transactions Outside the Platform

Transactions that are initiated on the Platform but completed or modified through external channels (text, email, other platforms) may lose access to dispute escalation protections. SELT strongly advises that all transaction communication and arrangements be maintained within the Platform to preserve the full accountability framework.

8. Intellectual Property

8.1 SELT's Intellectual Property

The Platform, including its design, code, features, functionality, content, trademarks, service marks, logos, and the patented mechanism connecting institutional SSO authentication with Student Conduct dispute routing ("Patent Pending — USPTO 2026"), is the exclusive property of SELT, Inc. and is protected by U.S. and international intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any portion of the Platform without our prior written consent, except as expressly permitted by these Terms or applicable law.

8.2 Your Content

By uploading, posting, or submitting content to the Platform — including listing photographs, descriptions, and communications — you grant SELT a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and display that content solely for the purposes of operating and improving the Platform. This license terminates when you remove your content from the Platform or when your account is terminated.

You represent and warrant that: (a) you own or have the necessary licenses and rights to the content you submit; (b) the content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or any applicable law; and (c) the content does not contain material that is false, misleading, defamatory, or otherwise unlawful.

8.3 Feedback

If you provide SELT with feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant SELT an irrevocable, perpetual, non-exclusive, royalty-free license to use that Feedback for any purpose without compensation or attribution to you.

9. Disclaimers

9.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 No Warranty Regarding Transactions

SELT does not warrant or guarantee the quality, safety, legality, or accuracy of any item listed on the Platform, the identity of any user beyond their verified enrollment status, the performance of any user's obligations in a transaction, or that any transaction will be completed. Verification of enrollment does not constitute an endorsement of any user's trustworthiness, character, or reliability as a counterparty.

9.3 Third-Party Links and Content

The Platform may contain links to third-party websites or services. SELT does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party websites or services. Your interactions with third parties are solely between you and those third parties.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE PLATFORM, ANY TRANSACTION CONDUCTED THROUGH THE PLATFORM, OR ANY CONTENT OBTAINED THROUGH THE PLATFORM.

IN NO EVENT SHALL SELT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE AMOUNT YOU PAID TO SELT (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SELT, Inc. and its officers, directors, employees, agents, successors, and assigns (collectively, "SELT Parties") from and against any claims, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or related to: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) any content you submit to the Platform; or (e) any transaction you conduct through the Platform.

SELT reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with SELT's defense of such claims. You may not settle any claim subject to this indemnification provision without SELT's prior written consent.

12. Termination

12.1 Termination by SELT

SELT may suspend or permanently terminate your access to the Platform, with or without notice, for any reason, including but not limited to: your violation of these Terms; your violation of applicable law; misrepresentation of your enrollment status; receipt of a direction from your institution to terminate access; or conduct that SELT determines, in its reasonable discretion, is harmful to other users, the Platform, or the SELT community.

Termination for violation of these Terms may be reported to your institution, including to relevant Student Conduct or Academic Integrity offices.

12.2 Effect of Termination

Upon termination of your access: your right to use the Platform immediately ceases; your active listings will be deactivated; your in-progress disputes will be noted as unresolved; and we may retain certain information as required by our Privacy Policy or applicable law. Sections of these Terms that by their nature survive termination — including Sections 7 (Disputes), 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 14 (Miscellaneous) — will continue in full force.

12.3 Termination of Institutional License

If your institution's license agreement with SELT expires or is terminated, all student access through that institution's instance will be revoked simultaneously. Student users will receive notice through the Platform where practicable. SELT's obligations to those students following termination of an institutional agreement are set forth in the applicable institutional agreement.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13.2 Binding Arbitration

EXCEPT AS PROVIDED IN SECTION 13.4, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, NOT BY COURT LITIGATION. Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Lubbock, Texas, or by video conference if agreed by both parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13.4 Exceptions to Arbitration

The following disputes are excluded from binding arbitration and may be brought in a court of competent jurisdiction: (a) claims to enforce or protect intellectual property rights; (b) claims for injunctive or other equitable relief to prevent unauthorized use of the Platform or violation of these Terms; and (c) any claim that applicable law requires to be brought in court.

13.5 Venue

For any matters not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Lubbock County, Texas.

13.6 Dispute Resolution Timeline

Before initiating formal arbitration, you agree to provide SELT with written notice of the dispute at legal@seltapp.com and allow SELT 30 days to attempt informal resolution. This informal resolution period is a condition precedent to initiating arbitration.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable institutional agreement, constitute the entire agreement between you and SELT regarding the Platform and supersede all prior and contemporaneous understandings, representations, or agreements, whether oral or written.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

14.3 Waiver

SELT's failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of its right to enforce that provision or any other provision on any other occasion.

14.4 Modifications

SELT reserves the right to modify these Terms at any time. For material changes, we will provide notice via the Platform, by email where available, and by updating the "Last Updated" date above. Non-material changes (such as typographical corrections) may be made without specific notice. Continued use of the Platform following the effective date of any modification constitutes acceptance of the revised Terms.

14.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without SELT's prior written consent. SELT may assign these Terms freely in connection with a merger, acquisition, or sale of assets, provided that the successor entity is bound by these Terms.

14.6 Force Majeure

SELT shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, governmental actions, cyberattacks, infrastructure failures, or other events outside our reasonable control.

14.7 Language

These Terms are written in English. In the event of any conflict between the English version and any translation, the English version shall control.
